Terms of Service

1. Acceptance

If you use Toolsbots on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Services.

2. Eligibility and accounts

• You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
• You are responsible for maintaining accurate account information and safeguarding credentials.
• You must notify us promptly of unauthorized access to your account.

3. Description of services

Toolsbots provides catalog-based and custom digital services (e.g. websites, apps, marketing, automation) with scope, pricing, and delivery timelines described on service pages at the time of order. We may use AI-assisted workflows combined with human delivery teams unless otherwise stated.

4. Orders, payment, and taxes

• Prices, packages, and add-ons are shown before checkout and form part of your order.
• Payment is processed through third-party gateways; you authorize charges for selected services.
• Taxes (including GST, VAT, or similar) may apply based on your location and billing details.
• Refunds are governed by our Refund Policy.

5. Client responsibilities

• Provide accurate briefs, assets, and feedback within agreed timelines.
• Ensure content you supply does not infringe third-party rights or violate applicable law.
• Review deliverables and report issues within the review window stated in your project.
• Obtain any third-party licenses required for materials you provide (fonts, images, trademarks, etc.).

6. Intellectual property

Upon full payment for a scoped deliverable, you receive the usage rights described on the service page or project agreement for that deliverable, excluding Toolsbots pre-existing materials, platform code, templates, and methodologies, which remain our property.

You grant us a limited license to use materials you provide solely to perform the Services.

7. Confidentiality

Each party may receive confidential information from the other. Both parties agree to use reasonable care to protect such information and to use it only for the purpose of the engagement, except as required by law.

8. AI-assisted delivery

Outputs may be generated or assisted by automated systems. We do not guarantee specific business outcomes (rankings, revenue, conversions). You are responsible for final approval and use of deliverables in your business context.

9. Acceptable use

• No unlawful, harmful, fraudulent, or abusive activity on the platform.
• No attempts to disrupt, reverse engineer, or overload our systems.
• No use of the Services to create illegal content or violate third-party rights.

10. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLSBOTS AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM A SPECIFIC ORDER IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ORDER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, UNLESS A HIGHER LIMIT IS REQUIRED BY MANDATORY LAW.

12. Indemnity

You agree to indemnify and hold Toolsbots harmless from claims arising from your content, your breach of these Terms, or your unlawful use of deliverables, except to the extent caused by our gross negligence or willful misconduct.

13. Suspension and termination

We may suspend or terminate access for violation of these Terms, non-payment, fraud risk, or legal requirements. You may stop using the Services at any time. Provisions that by nature should survive termination will survive.

14. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles, except where mandatory consumer protections in your country require otherwise. Courts inIndia shall have exclusive jurisdiction where permitted, subject to mandatory local rights.

15. Changes to terms

We may update these Terms from time to time. Continued use after the effective date constitutes acceptance of the revised Terms, except where further consent is required by law.
